a) Preparation of well drafted shareholders' agreements with dispute resolution clauses -to endeavour to avoid any escalation of disputes between the business directors. There will also be pre-emption rights upon transfer of shares and non-compete covenants
b) Defence of directors being forced out of the Company (disciplinary investigations, performance management, redundancy and proposed restructuring)
c) Defence of Shareholders being excluded from the business
d) Raising of claims against the Company for unfair and wrongful dismissal, sex, race and disability discrimination, breach of pregnancy and maternity rights, whistleblowing etc
e) Claims for unpaid bonuses and unpaid remuneration
f) Unfair prejudice claims by shareholders
g) Defence of claims raised by a liquidator of the Company (including for wrongful trading, and for repayment of monies to the Company)
h) Defence of applications for disqualification orders
i) Defence of Claims to enforce non compete covenants
j) Defence of Claim in relation to alleged breach of confidential information
k) Representation in relation to settlement agreement negotiations
l) Defence of regulatory and/or criminal proceedings being raised against a director
